RESOLUTION NO. 97-32
A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF PARKLAND, FLORIDA, AUTHORIZING THE
AWARD OF A CONTRACT FOR THE PARKLAND
MUNICIPAL COMPLEX, CITY CONTRACT #97-01;
CONTAINING AN EFFECTIVE DATE.
WHEREAS, the City of Parkland advertised for competitive bids for the Parkland
Municipal Complex, City Contract No. 97-01; and
WHEREAS, the City of Parkland received ten (10) bids from the following
bidders: Double E Constructors, Inc., Atkins Construction, Inc" Urban Organization Inc"
Padula & Wadsworth Construction, Inc., Di Pompeo Construction Corporation, BCL
Construction, Inc., Sterling Contractors, Inc., Bliss Construction, Inc., SBS Construction
Corporation, and Rockland Construction Company.
WHEREAS, the City Commission finds that of the five (5) lowest base bids, the
bid of Atkins Construction is nonconforming as Appendix "A"- Unit Prices and Appendix
'c' - Cost Breakdown were not completed, Section 00430 Qualification Request Form
was not completed and Section 00450 General Contractor Questionnaire was not fully
filled out.
WHEREAS, the City Commission of the City of Parkland has fully reviewed all
bids and determined that the bid of Sterling Contractors, Inc, is the lowest responsible and
responsive bid which best meets the criteria set forth in the bid packet and that based upon
the bid price and other factors to be considered it is in the best interest of the City to
accept said bid.
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF
THE CITY OF PARKLAND, FLORIDA:
Section 1. That Sterling Contractors, Inc. is hereby awarded a contract in the
amount of 52, 189,800.00, for the Parkland Municipal Complex, City Contract number 97-
01 which includes bid alternate numbers:

As a condition to this award, the City Commission reserves the right to reconsider these
bid alternates and amend the contract accordingly. The City Commission has specifically
instructed Sterling Contractors, Inc. to provide further information as to the following bid

Section 2. The City Commission does hereby authorize the Mayor to execute
a contract for the construction of the Parkland Municipal Complex with Sterling
Contractors, Inc.. All other appropriate City officials are authorized to execute said
contract and to implement same.
Section 3. The appropriate authorities are hereby authorized to draft a
contract acceptable in form to the City Attorney and City Manager, and upon approval of
the City Attorney and City Manager as to the form of contract, they shall enter into said
contract with Sterling Contractors, Inc..
Section 4.
That this Resolution shall become effective upon adoption.

OWNER AND CONTRACTOR
THIS IS THE AGREEMENT WHICH WILL GOVERN THE SUCCESSFUL BIDDER'S
PERFORMANCE UNDER THE CONTRACT AND SHALL BE EXECUTED BY THE
SUCCESSFUL BIDDER. ALL BIDDERS, BY SUBMISSION OF THEIR BIDS AGREE
TO EXECUTE THIS CONTRACT IF SELECTED BY CITY TO PERFORM THE
PROJECT.
This Agreement is entered into between the City of Parkland, 6500 Parkside
Drive, Parkland, Florida, as OWNER, and STERLING CONTRACTORS. INC.

In the year of Nineteen Hundred and Ninety Seven.
1. This Agreement shall consist of the Contract Documents,. of which this is a
part. The Contract Documents shall consist of this agreement, the entire
Bid packet and all documents contained therein, including, but not limited
to, the instructions to Bidders, the General Conditions, the supplementary
General Conditions, any special conditions (as revised), any
supplementary conditions, all Construction Plans, drawings and technical
specifications and the bid and all bid forms and questionnaires submitted
by the Contractor (except those provisions of the Bid not accepted by. the
OWNER) and any addendum issued by the CITY. All said documents and
provisions contained therein shall be binding contractual provisions.

which shall include the following alternates accepted by the City

3. Substantial and final completion shall be achieved as set forth in the
contract documents.
4. CONTRACTOR shall ensure that all subcontractors materialmen, laborers,
or other providers of goods and services are paid in full for services
properly rendered. This shall be the full responsibility of the
CONTRACTOR and a requirement for payment.
5. Based upon application for payment submitted to the Architect, by
CONTRACTOR and certificates for payment issued by the Architect, the
OWNER shall make progress payments on account of the contract sum as
set forth below or elsewhere in the contract documents.
5.1 No progress payments shall be made more often than 30 day cycles. The
first 30 day cycle shall begin 30 calendar days after Commencement of
construction and continue thereafter in 30 day intervals provided that
application for payment be made within 3 days of the commencement of
each period. The architect shall then have 7 days to review the application
for payment and either approve or deny the application or authorize a
payment of a lesser amount. The OWNER shall, within 20 days of any
certificate for payment from the Architect, make the payment set forth in
the certificate less a 10% retainage which shall be retained by the OWNER
to assure final completion of the work according to the Contract
Documents.
5.2 Each application for payment shall be based upon the schedule of values
submitted by the Contractor in accordance with the contract documents.
The schedule of values shall fairly allocate the contract sum among the
various portions of the work and be prepared by the CONTRACTOR, but
must be approved in writing by the Architect In case the Architect and

CONTRACTOR cannot agree on a schedule of values, the Architect shall
determine the schedule of values to be used.
5.3 Applications for payment shall indicate the percentage of completion of
each portion of the work as of the end of the period covered by the
application for payment. The architect may require additional
substantiation with regard to said percentage of completion which shall be
immediately provided by the CONTRACTOR. The provisions of Section 9.5
and 9.6 of the General Conditions shall, in addition to these provisions
govern all progress payments.
5.4 The Architect may subtract from the certificate of payment any amounts
provided for by Sec. 9.5 of the General Conditions of any amount which the
Architect deems to represent work not completed in strict compliance with
the contract documents.
5.5 Upon substantial completion of all work, the Architect shall have the sole
discretion to reduce the retainage amount to 5% provided there has been
no delay in the work. However, Architect may still withhold amounts
representing work which Architect deems incomplete or inconsistent with
the contract documents or unsatisfactory or the amount of any unsettled
claims or withhold amounts set forth in Section 9.5.1 of the General
Conditions.
5.6 All applications for payment shall contain an affidavit from CONTRACTOR
that all subcontractors, laborers, materialmen, and other providers of
services have been paid in full for services to date. The Architect may also
request other assurances from the CONTRACTOR, including, but not
limited to full or partial releases or waiver of liens.

6. Payment upon substantial completion shall be made by the OWNER to the
CONTRACTOR when substantial completion has been achieved and the
CONTRACTOR has executed an affidavit that all subcontractors,
materialmen, laborers, suppliers of goods and services and any other
agents or employees engaged by subcontractors have been fully paid and
no sums are due and owing to any other parties on account of work
performed, and that work is substantially complete in accordance with the
contract documents and the Architect issues a certificate for payment
indicating that substantial completion has been achieved. As a
prerequisite to payment, the Contractor shall supply the necessary
releases and waivers of liens to assure the Owner and Architect that all
subcontractors, materialmen, providers of goods and services and all other
persons engaged in the project have been paid in full. The application for
payment at the time of substantial completion shall also contain an
acknowledgment of the work remaining in order to achieve final completion
which acknowledgment must be approved as to content by the Architect.
7. Final payment shall be made upon execution of a certificate for payment
which reaffirms (by affidav~t) the fact that all subcontractors, materialmen,
laborers, suppliers of goods and services and any other agents or
employees engaged by subcontractors have been fully paid and no sums
are due and owing to any other parties on account of work performed and
that there are no valid claims of liens by any parties participating in the
work in any way and that the work is complete in all respects in
accordance with the contract documents. The OWNER shall make final
payment upon receipt of a certificate for payment which concludes that the
applications for final payment are correct and that final completion has
been achieved. All necessary releases and waivers of liens as specified
above must be submitted to the satisfaction of the Owner and Architect.
8. CONTRACTOR shall submit to Architect and OWNER AlA Document G702
(or other form acceptable to the Architect) for monthly payment and such

other documentation as specified herein.
9. The OWNER shall not be liable for any prejudgement interest for any
amounts not paid to contractors for amounts in excess of those amounts
contained in the certificate for payment by the Architect.
10. In addition the enumeration of the contract documents contained in
Section #1 above, the contract documents shall also include the following
documents (plans and specifications):

no delay in the work. However, Architect may still withhold amounts
representing work which Architect deems incomplete or inconsistent with
the contract documents or unsatisfactory or the amount of any unsettled
claims or withhold amounts set forth in Section 9.5.1 of the General
Conditions.
5.6 All applications for payment shall contain an affidavit from CONTRACTOR
that all subcontractors, laborers, materialmen, and other providers of
services have been paid in full for services to date. The Architect may also
request other assurances from the CONTRACTOR, including, but not
limited to full or partial releases or waiver of liens.

6. Payment upon substantial completion shall be made by the OWNER to the
CONTRACTOR when substantial completion has been achieved and the
CONTRACTOR has executed an affidavit that all subcontractors,
materialmen, laborers, suppliers of goods and services and any other
agents or employees engaged by subcontractors have been fully paid and
no sums are due and owing to any other parties on account of work
performed, and that work is substantially complete in accordance with the
contract documents and the Architect issues a certificate for payment
indicating that substantial completion has been achieved. As a
prerequisite to payment, the Contractor shall supply the necessary
releases and waivers of liens to assure the Owner and Architect that all
subcontractors, materialmen, providers of goods and services and all other
persons engaged in the project have been paid in full. The application for
payment at the time of substantial completion shall also contain an
acknowledgment of the work remaining in order to achieve final completion
which acknowledgment must be approved as to content by the Architect.
.7. Final payment shall be made upon execution of a certificate for payment
which reaffirms (by affidavit) the fact that all subcontractors, materialmen,
laborers, suppliers of goods and services and any other agents or
employees engaged by subcontractors have been fully paid and no sums
are due and owing to any other parties on account of work performed and
that there are no valid claims of liens by any parties participating in the
work in any way and that the work is complete in all respects in
accordance with the contract documents. The OWNER shall make final
payment upon receipt of a certificate for payment which concludes that the
applications for final payment are correct and that final completion has
been achieved. All necessary releases and waivers of liens as specified
above must be submitted to the satisfaction of the Owner and Architect.
8. CONTRACTOR shall submit to Architect and OWNER AlA Document G702
(or other form acceptable to the Architect) for monthly payment and such

other documentation as specified herein.
9. The OWNER shall not be liable for any prejudgement interest for any
amounts not paid to contractors for amounts in excess of those amounts
contained in the certificate for payment by the Architect
10. In addition the enumeration of the contract documents contained in
Section #1 above, the contract documents shall also include the following
documents (plans and specifications):

ADVERTISEMENT FOR BIDS
Notice to Bidders
The CITY of Parkland invites the submission of sealed Proposals for:
Parkland Municipal Complex CITY Contract No. 97-01
The work generally consists of providing all labor, materials and incidentals necessary
for the C9nstruction of City Hall (approximately 16,900 sq. ft.)" roadway and parking, ~
lake excavation, utilities, lighting, landscaping and other site improvements, for
approximately '1 0 acres, all in accordance with the Contract Documents and
Construction Plans.
The Proposal and other data submitted by bidders will form the basis for a lump sum
contract for the work. Proposals are to be submitted in proper form as described in the
"Instructions to Bidders" and this "Notice to Bidders" and shall be received and time
stamped at the office of the City Clerk, 6500 Parkside Drive, Parkland, Florida 33067
not later than 2:00 p.m. on August 15. 1997, at which time and place bids will be
opened and publicly read. Late Proposals will not be accepted under any
circumstances. .
(.j') A Pre-Bid Conference is scheduled for Julv 24. 1997 at 10:00 a.m., at Parkland City
Hall, 6500 Parkside Drive, Parkland, Florida 33067. Attendan.ce is highly
recommended and proof of attendance will be indicated by ttie- Bidder's signature on
the attendance sheet provided at the Conference.
Bidders may obtain plans and Project Manuals at Parl<land City Hall for a non-
refundable charge of $100.00 per set. These documents may be examined at Parkland
City Hall between the hours of 9:00 a.m. and 5:00 p.m., Monday through Friday, and at

INSTRUCTIONS TO BIDDERS

THU$. COMPLETE THE BID DOCUMENTS IN FULL FOR SUBMITTAL AT
THE TIME OF THE BID OPENING OR RISK REJECTION OF YOUR BID.
1. DEFINED TERM~
Terms used in the~e Instructions to Bidders are defined and have the meanings
assigned to them. The term' "Bidder" means one who submits a Bid directly to
CITY, as distinct from a sub-bidder, who submits a Bid to the Bidder. The term
"Successful Bidder" means the lowest, responsible and responsive Bidder to
whom CITY (on the basis of CITY'S evaluation as hereinafter provided) makes
an award. Alternately, the Bidder or Successful Bidder may be referred to as
CONTRACTOR. The term "CITY" refers to the City of Parkland, a municipal
corporation of the State of Florida. The term "Architect" refers to Michael
Schiff & Associates, Inc., 2701 w: Oakland Park Blvd., Suite 300, Fort
Lauderdale, Florida, Phone Number (954) 486-7500. The term "Bid

Documents" includes the Notice to Bidders, Bid Submission checklist,
Instructions to Bidders, the Bid Form and Bidder's Certification, Foreign (non-
Florida) Corporate Statement (if applicable) Non-Collusive Affidavit,
Qualifications Request Form, Certificate(s) of Insurance (if required), Corporate
Resolution, Bid Security, General Contractor Questionnaire, Contractor Affidavit,
and the proposed Contract Documents, including all Addenda issued prior to
receipt of Bids and all documents which request information from the bidder.
2. '~ES OF BIDDI"'IG DOCUMENTS
2.1 . Complete sets of Bid Documents in the number and for the sum stated in
the Notice to Bidders may be obtained from the Office of the City Clerk~
This amount represents reproduction costs and is nonrefundable.
Complete sets of Bid Documents must be used in preparing Bids; CITY
does not assume any responsibility for errors or misinterpretations
resulting from the use of incomplete sets of Bidding Documents. CITY, in
making copies of Bidding Documents available on the above terms does
so only for the purpose of obtaining Bids on the work and does not confer
a license or grant for any other use.
2.2 The Contractor shall be responsible for confirming that all documents
listed in the master index are included in the Bid packet.
3. QUALIFICA TIQNS OF BIDDERS
3.1 No proposal will be accepted from, nor will any contract be awarded to,
any person, who is in arrears to the City of Parkland, upon any debt or
contract, or who is a defaulter, as surety or otherwise, upon any obligation
to said CITY, or who is deemed irresponsible or unreliable by the CITY.
3.2 As a part of the Bid evaluation process, CITY may conduct a background
investigation including a record check by the Parkland Police Department.
Bidder's submission of a Bid constitutes acknowledgment of the process
and consent to such investigation. CITY shall be the sole judge in
determining Bidder's qualifications.
3.3 The CITY reserves the right to make a pre-award inspection of the
Bidder's facilities and equipment prior to award of Agreement.
3.4 CITY reserves the right to consider a Bidder's history of citations and/or
violations of environmental regulations in determining a Bidder's
responsibility, and further reserves the right to declare a Bidder not
responsible if (in the opinion of the CITY) the history of violations warrant
'such determination. Bidder shall submit with Bid, a complete history of all
citations and/or violations, notices and dispositions thereof. The
nonsubmission of any such documentation shall be deemed to be an
affirmation by the Bidder that there are no citations or violations. Bidder
shall notify CITY immediately of notice of any citation or violation which

Bidder may receive after the Bid opening date and during the time of
performance of any contract awarded to Bidder.
4. EXAMLNATION OF CONTRACT DOCUMENTS & SITE

4.1 Before submitting a Bid, each Bidder must (a) examine the Bid
Documents thoroughly; (b) consider federal, state and local laws,
ordinances, rules and regulations that may in any manner affect cost,
progress, performance, or provision, of the goods and/or services; (c) fully
and thoroughly inspect the site of the proposed work; (d) thoroughly
inspect and review the master plan and conduct all site examinations
deemed necessary to submit an accurate bid, available at City Hall; (e)
study and carefully correlate Bidder's observations with the Bid
Documents; and (f) notify CITY'S Architect of all conflicts, errors,
irregularities, or discrepancies in the Bid Documents.
4.2 The submission of a Bid will constitute an incontrovertible representation
by Bidder that Bidder has complied with every requirement of this Article
4, that without exception the Bid is premised upon performing the services
and/or furnishing the goods and materials and such means, methods,
techniques, sequences or procedures as may be indicated in or required
by the Bid Documents, and that the Bid Documents are sufficient in scope
and detail to indicate and convey understanding of all terms a'nd
conditions of performance, all site conditions and furnishing of the goods
and/or services.
5.~
5.1 The apparent silence of the Specifications as to any detail, or the
apparent omission from it of a detailed description concerning any point,
shall be regarded as meaning that only the best commercial practice is to
prevail and that only material and workmanship of the finest quality are to
be used. All interpretations of the Specifications shall be made on the
basis of this statement.
5.2 For the purpose of evaluation, the Bidder must promptly indicate any
variance or exceptions to the stated Specifications, no matter how slight.
Deviations should be explained in detail. Absence of variations and/or
corrections will be interpreted to mean that the Bidder meets all the
Specifications in every respect.
5.3 Any manufacturers' names, trade names, brand names, information
and/or catalog numbers used herein are for the purpose of describing and
establishing a general standard of quality, perfolmance and
characteristics and are not intended to limit or restrict competition. The
Bidder may offer any brand which meets or exceeds the specifications for
any item(s). Requests for approval for substitutes shall be submitted at
least fourteen (14) calendar days prior to bid date, in accordance with
SECTION 00100 PAGE 3 of 22
procedures specified elsewhere in the Contract Documents.
5.4 Items shown on the Plans but not noted in the Specifications, and items
\
noted in the Specifications but not shown on the Plans, are to be
considered as both shown on the Plans and noted in the Specifications.
Any errors or omissions in the Specifications or on the Plans, as to the
standards of the work, shall not relieve the CONTRACTOR of the
obligation to furnish a satisfactory first class job in strict conformity with
the best practice found in structures or in the work of a similar type. The
failure of the Bidder to direct the attention of the CITY's Architect to errors
or discrepancies will not relieve the Bidder, should Bidder be awarded the
Contract, of the responsibility of performing the work to the satisfaction cj
the CITY.
6. INTERPRETATIONS ADDENDA AND PROTESTS
6.1

To ensure fair consideration for all Bidders, CITY prohibits communication
to or with any department, officer or employee during the submission
process except as provided in Paragraph 6.2 below.
If the Bidder should be in doubt as to the meaning of any of the Bid
Documents, or is of the opinion that the bid documents, plans
and/or specifications contain errors or contradictfons or reflect
omissions, Bidder shall submit a written request directed to the
CITY'S Architect to be forwarded to the appropriate person or
department for interpretation or clarification. Such request must be
received by the CITY'S Architect at least ten (10) calendar days before
the date of the formal opening of Bids. Questions received less than ten
(10) calendar days prior to the Bid opening shall not be answered.
Interpretations and clarifications deemed necessary by the City's Architect
in response to such questions will be issued in the form of written
Addenda issued to all parties recorded on the Bid List as having received
the Bidding Documents. No oral interpretations or clarifications shall be
made or considered valid. Issuance may be by facsimile with hard copy
follow-up by u.s. Mail; or by Federal Express next-day or second-day
delivery. The City and the Architect shall strive to distribute the Addenda
to all parties, as above, but shall not be responsible for any party's failure
to receive an Addendum. It shall be the bidder's burden and sole
responsibility to determine if any Addenda have been issued prior to the
Bid date.
Any claim that the bid packet and the requirements and procedures set
forth herein violate any applicable law or regulation or the right of any
bidder shall be made in writing ai least ten (10) calendar days prior to the
date set for bid opening or said Claim shall be deemed to be waived. The
claim shall detail the alleged violation with specificity.

7. PRICES BID
7.1 Prices shall be shown in both unit amounts and extensions whenever
applicable. In the event of discrepancies existing between unit amounts
and extensions or totals, unit amounts shall govern.
7.2 Discrepancies in the multiplication of units of work and unit prices will be
resolved in favor of the unit prices. Discrepancies between the indicated
sum of any column of figures and the correct sum thereof will be resolved
in favor ofthe correctsum.
7.3 All applicable discounts shall be included in the Bid price for materials an~
services and will be considered as determining factors in recommending
an award in case of tie bids. Discounts extended to CITY shall include but
not be limited to those discounts normally extended to governmental
agencies as well as the private sector.
7.4 Chain discounts are not acceptable and will not be considered in
determining an award. Bidders may bid only one (1) discount for each
item on the Bid Form. Firm discounts and prices are to be quoted for the
term of the Contract.

7.5 Bidder warrants by virtue of bidding that prices. terms and conditions in
the Bid will be firm for acceptance for a period of Ninety (90) calendar
days from the date of Bid opening unless otherwise stated by the CITY.
7.6 The bid price shall include all. royalties, license fees and other costs
arising from the use of such design. device or materials in any way
involved in the work as well as all costs of packaging, transporting and
delivery to the designated location within the City of Parkland. City Permit
and inspection fees shall be waived.
8. OCCUPATIONAL HEALTH AND SAFETY
8.1 In compliance with Chapter 442, Florida Statutes, any toxic substance
listed in Section 38F-41.03 of the Florida Administrative Code delivered as
a result of this Bid must be accompanied by a Material Safety Data Sheet
(MSDS) which may be obtained from the manufacturer. The MSDS must
include the following information:

8.1.1 The chemical name and the common name of the toxic substance.
8.1.2 The hazards or other risks in the use of the toxic substance,
including:
(a) The potential for fire, explosion, corrosivity and reactivity;
(b) The known acute and chronic health effects of risks from exposure,

including the medical conditions which are generally recognized as
being aggravated by exposure to the toxic substance; and
(c) The primary routes of entry and symptoms of overexposure.
8.1.3 The proper precautions, handling practices, necessary personal
protection equipment, and other safety precautions in the use of or
exposure to the toxic substances, including appropriate emergency
treatment in case of exposure.
8.1.4 The emergency procedure for spills, fire, disposal and first aid.

8.1.5 A description in lay terms of the known specific potential health
risks posed by the toxic substance intended to alert any person reading
this information.
8.1.6 The year and month, if available, that the information was compiled
and the name, address, and emergency telephone number of the
manufacturer responsible for preparing the information.
9. S~BMISSION OF BIQS
9.1 Bids shall be submitted at or before the time and at the place indicated. in
the Invitation to Bid and shall be submitted in a sealed envelope. The
. envelope shall be clearly marked on the exterior "BID FOR PARKLAND
MUNICIPAL COMPLEX FOR THE CITY OF PARKLAND, FLORIDA,
OPEN AUGUST 15, 1997 AT 2:00 PM" and shall state the name and
address of the Bidder and accompanied by any other required
documents. The Bid Submission Checklist (Section 00050) must be
completed and affixed to the exterior of the Bid Envelope. No
responsibility will attach to the CITY for the premature opening of a Bid
not properly addressed and identified.
9.2 Bids must be typed or printed in ink. Use of erasable ink is not permitted.
All blanks on the Bid Form must be completed. Names must be typed or
printed below the signature. Facsimile bids will not be accepted.
9.3 In accordance with Chapter 119 of the Florida Statutes (Public Records
Law), and except as, may be provided by other applicable state and
federal law, all Bidders should be aware that the Invitation to Bid and the
responses thereto are in the public domain. However, the Bidders are
requested to identify sDecificallv any information contained in their bids
which they consider confidential andlor proprietary and which they believe
to be exempt from disclosure, citing specifically the applicable exempting
law.
9.4 All Bids received from Bidders in response to the Invitation to Bid will
become the property of the CITY and will not be returned to the Bidders.

In the event of contract award, all documentation produced as part of the
contract shall become the exclusive property of the CITY.
9.5 The submitted Bid shall constitute a firm binding offer on the part of
the Bidder to furnish the equipment and/or services requested
according to the terms of the bid and all Bidding Documents and
specifications and specifically according to the contract contained
herein.
10. BlIilQBMS
10.1 The Bid Form is included with the Bidding Documents and must be use~
by the Bidder. All bids must be on the prescribed form. The forms must
be submitted in good order and all blanks must be completed. All
instructions must be followed and all requested information accurately
supplied. No information which has not been requested should be
supplied.
10.2 The Bid must be signed by one duly authorized to do so; and in cases
where the Bid is signed by a deputy or subordinate, the principal's proper
written authority to such deputy or subordinate must accompany the Bid.

10.3 Bids by corporations must be executed in the corporate name by the
President or other corporate officer accompanied by evidence of authority
to sign. The corporate address and state of incorporation must be shown
below the signature.
10.4 Bids by partnerships must be executed in the partnership name and
signed by a general partner, whose title must appear under the signature
and the official address of the partnership must be shown below the
signature.
11. PRE-BID CONFERENCE & MODIFICATION AND WITHDRAWAL OF BIDS
11.1 PRE-BID CONFERENCE
A. A bidders conference has been scheduled for 10:00 AM on the 24th
day of July, 1997 at the City of Parkland City Hall, 6500 Parkside
Drive~ Parkland, Florida.
B. All general contract [and ,{major} subcontract] Bidders [and
suppliers] are invited.
C. Representatives of the Owner, Architect and Engineer will be in
attendance.
D. Summarized minutes of this meeting will be circulated to attendees
and all known bidders. These minutes will form part of the Contract

Documents.
E. Information relevant to the Bid Documents will be recorded in an
Addendum, issued to Bid Document recipients.
11.2 Bids may be modified or withdrawn by an appropriate document duly
executed (in the manner that a Bid must be executed) and delivered to
the place where Bids are to be submitted at any time prior to the deadline
for submitting Bids. A request for withdrawal or a modification must be in
writing and signed by- a person duly authorized to do so, and, in a case
where signed by a deputy or subordinate, the principal's proper written
authority to such deputy or subordinate must accompany the request for
withdrawal or modification. Withdrawal of a Bid will not prejudice th~
rights of a Bidder to submit a new Bid prior to the bid date and time. After
expiration of the period for receiving Bids, no Bid may be withdrawn or
modified.
11.3 If, within twenty-four (24) hours after Bids are opened, any Bidder files a
duly signed, written notice with CITY and within five (5) calendar days
thereafter demonstrates to the reasonable satisfaction of CITY by clear
and convincing evidence that there was a material and substantial
mistake in the preparation of its Bid, or that the mistake is clearly evident
on the face of the Bid but the intended correct Bid is nqt. similarly evide.nt,
then Bidder may withdraw its Bid and the Bid Security will be returned.
Thereafter, the Bidder will be disqualified from further bidding on the work
to be provided under the Contract Documents.
12. . BEJECTION OF BIDS
12.1 To the extent permitted by applicable state and federal laws and
regulations, CITY reserves the right to reject any and all Bids, to waive
any and all informalities, irregularities and technicalities and the right to
disregard all nonconforming, nonresponsive, unbalanced or conditional
Bids. Bids will be considered irregular and may be rejected, if they show
serious omissions, alterations in form, additions not called for, conditions
or unauthorized alterations, or irregularities of any kind. The City stresses
the importance of filing a complete bid response which accurately and
properly provides all information requested.
12.2 CITY reserves the right to reject the Bid of any Bidder if CITY believes
that it would not be in the best interest of CITY to make an award to that
Bidder, whether because the Bid is not responsive or the Bidder is
unqualified or of doubtful financial ability or fails to meet any other
pertinent standard or criteria established by CrlY.
12.3 More than one Bid received for the same work from an individual, firm,
partnership, corporation or association under the same or different names
will not be considered. Reasonable grounds for believing that any Bidder

is interested in more than one Bid for the same work will cause the
rejection of all such Bids in which the Bidder is interested. If there are
reasonable grounds for believing that collusion exists among the Bidders,
the Bids of participants in such collusion will not be considered.
12.4 The reasons for rejection of Bids are not intended to be exhaustive.
13. OPENING Of: BIDS
13.1 Bids will be opened ,publicly on the date and at the location and time
specified in the Invitation to Bid. Bids will be read aloud and an abstract
of the amount of the Base Bids will be made available after the opening of
fueB~. . f
14. BIDS TO REMAIN OPEN
.14.1 All Bids shall remain open for Ninety (90) calendar days after the day of
the Bid opening, but CITY may, at its sole discretion, release any Bid and
return the Bid Security prior to that date.

14.2 Extensions of time when Bids shall remain open beyond the Ninety (90)
day period may be made only by mutual written agreement between the
CITY, the Successful Bidder, and the surety, if any, fQr the Successful
Bidder.
15. AWARD OF CONTRACT
15.1 If the Contract is to be awarded, it will be awarded to the most responsible
and responsive Bidder for the Bid whose evaluation by CITY indicates to
CITY that the award will be in the best interests of the CITY, and not
necessarily to the Bidder submitting the lowest bid..
15.2 Contracts shall be awarded to the lowest responsible bidder. In
determining "lowest responsible bidder" in addition to price, the City
Commission shall consider the following:
(i) The ability, capacity and skill of the bidder to perform the contract
or provide the service required;
(ii) \Nhether the bidder can perform the contract or provide the service
promptly, or within the time specified, without delay or interference;
(iii) The character, integrity, reputation, judgment, experience and
efficiency of the bidders;
(iv) The quality of performance of previous contracts or services;
(v) The previous and existing compliance by the bidder with the laws

and ordinances relating to the contract or service;
(vi) The sufficiency of the financial resources and ability of the bidder to
perform the contract or provide the service;
(vii) The quality, availability and adaptability of the supplies, or
contractual services to the particular use required;
(viii) The ability of the bidder to provide future maintenance and service
for the use of tbe subject contract;
(ix) The award and scope of conditions attached to the bid.

15.3 QUALIFICATION OF BIDDER
The Owner may make such investigations as he deems necessary to
determine the ability of the bidder to perform the work, and the bidder
shall furnish to the Owner all such information and data for this purpose
as the Owner may request. The Owner reserves the right to reject any bid
if the evidence submitted by, or investigation of, such bidder fails to satisfy
the Owner that such bidder is properly qualified to carry out the
obligations of the contract and to complete the work contemplated therein.
Conditional bids will not be accepted.
15.4 The Bidder to whom award is made shall execute a written Contract within
F.ifteen (15) calendar'days after the Contract Award unless the CITY, by
written authorization grants a 10 day extension (maximum extension
permitted), If the Bidder to whom the first award is made fails to enter into
a Contract as herein provided, the award may (at the sole discretion of the
CITY by Resolution) be annulled and the Contract let to the next lowest
Bidder who is responsible and responsive in the opinion of the CITY. '
Such Bidder shall fulfill every stipulation embraced herein as if he were
the original party to whom the award was made. The contract contained
herein shall be the contract to be executed and shall include the entire bid
submitted by the successful bidder unless modified by the City.
16. TAXES
16.1 See Section 00800 - Supplementary General Conditions to AlA Document
201, Article 3'- Contractor, Subsection 3.6 - Taxes, for details.
17. AUDIT RIGHTS
17.1 The CITY reserves the right to audit the records of the Successful Bidder
at any time during the performance and term of the Contract and for a
period of three (3) years after completion and acceptance by the CITY. If
required by the CITY, the Successful Bidder agrees to submit to an audit
by an independent certified public accountant selected by the CiTY. The

Successful Bidder shall allOw the CllY to inspect, examine and review the
records of the Successful Bidder at any and all times during normal
business hours during the term of the Contract.
18. CONFLICT OF INTEREST
18.1 The award hereunder is subject to the provisions of Chapter 112, Florida
Statutes. Bidders must disclose with their Bid, the name of any officer,
director, partner, proprietor, associate or agent who is also a public officer
or employee of the CITY or any of its agencies. Further, all Bidders must
disclose the name of any public officer or employee of the CllY who
owns, directly or indirectly, an interest of five percent (5%) or more in the
Bidder's firm or any of its branches or affiliate companies.
19. NON-COLLUSIVE AFFIDAVIT
19.1 Each Bidder shall complete the Non-Collusive Affidavit Form included with
the Bid Form, and shall submit the form with the Bid.
20. PUBLIC ENTllYCRIMES INFORMATION STATEMENT

20.1 A person or affiliate who has been placed on the convjcted vendor list
following a conviction for public entity crime may not submit a bid on a
contract to provide any goods or services to a public entity, may not
submit a bid on a contract with a public entity for the construction or repair
of a public buUding or public work, may not submit bids on leases of real
property to public entity, may not be awarded or perform work as a
contractor, supplier, subcontractor, or consultant under a contract with any
public entity, and may not transact business with any public entity in
excess of the threshold amount provided in Section 287.017, for
CATEGORY TWO for a period of 36 months from the date of being placed
on the convicted vendor list.
21. CONTRACT TIME
21.1 The work to be performed under the Contract shall be commenced within
15 days of the issuance of a notice to Droceed.
21.2 The number'of days which the work is to be substantially completed is
three hundred and thirty (330) consecutive calendar days from the date of
the commencement of the Contract time as specified in the Notice to
Proceed. Final Completion shall be within three hundred and sixty (360)
consecutive calendar days from the date of the commencement of the
contract time as specified in the Notice to Proceed.
21.3 By virtue of the submission of his Bid, Bidder agrees and fully
understands that the completion time of the work of the Contract is an

essential and material condition of the contract, is familiar with the project
and the project site and that time is of the essence. The Successful
Bidder agrees that all work shall be prosecuted regularly, diligently and
uninterrupted at such rate of progress as will ensure full completion
thereof within the time specified. Failure to complete the work within the
time period specified shall be considered a default.
2.2. LlaUIDA TED DAMAGES FOR BREACH OF CONTRACT
22.1 ,Because of the difficulty of determining damages for late performance with
any precision, the Successful Bidder agrees that, if the work, or any part
thereof, is not completed within the time specified or any extensiog
thereof, the Successful Bidder shall be liable to the CITY in the amount of
Five Hundred dollars ($500.00) for each and every calendar day the
Substantial or Final completion of the work is delayed beyond the time
provided in the Contract, as fixed and agreed upon liquidated damages
and not as a penalty. Bidder agrees that CITY shall have the right to
deduct from and retain out of moneys that may be then due or which may
become due and payable to the Successful Bidder, the amount as such
liquidated damages. The Successful Bidder agrees that this is not a
penalty.
23. SAFETY

23.1 The Successful Bidder shall be responsible for initiating, maintaining and
supervising all safety precautions and programs in connection with the
work. The Successful Bidder shall comply with the rules and regulations
of the Florida Department of Commerce regarding industrial safety (Fla.
Statutes Section 440.56) and with the standards set forth in the
Occupational Safety and Health Act of 1970 (OSHA) and its amendments.
23.2 The Successful Bidder shall take all reasonable precautions for the safety
of and shall provide all reasonable protection to prevent damage, injury or
loss to:
(a) All employees on the work site and all other persons who may be
affected thereby.
(b) The work and aU materials and equipment incorporated therein.
(c) Other property at the site or adjacent thereto, including trees,
shrubs, lawns, walks, pavements, structures and utilities not
designated for removal, relocation or replacement in the course of
the work.
24. WARRANTIES
24.1 Warranty of Title: The Successful Bidder warrants to the CITY that all

goods and materials furnished under the Contract will be new unless
otherwise specified and that Successful Bidder possess good, clear, and
marketable title to said goods and there are no pending liens, claims or
encumbrances whatsoever against said goods. All work not conforming
to these requirements, including substitutions not properly approved and
authorized may be considered defective.
24.2 Warranty of SDecifications: The Successful Bidder warrants that all
goods, materials and workmanship furnished, whether furnished by the
Successful Bidder or_its sub-contractors and suppliers, will comply with
the specifications, drawings and other descriptions supplied or adopted.
24.3 Warranty of Fitness for a Particular PUrDose: The Successful Bidde~
warrants the goods shall be fit for and sufficient for the purpose(s)
intended. The purpose for which the goods covered by the Contract is
intended as a Municipal facility as described in these specifications and in
the construction plans for Parkland Municipal Complex available for
inspection at City Hall.
24.4 Warranty of Merchantability: The Successful Bidder warrants that the
goods and faculties to be supplied pursuant to the Agreement are
merchantable, of good quality and free from defects, whether patent or
latent in material or workmanship.

24.5 Warranty of Performance: The Successful Bidder warrants that the goods
and facilities shall meet the following performance requirements:
24.5.1
The facilities and quality of construction are warranted to
be free of all defects and fully operable in and in good
working and aesthetic condition and of a quality which is
equal to or better than similar facilities in the area which
have been found by their owners to operate in a satisfactory
manner.
24.6 Warranty of Material and Workmanship: In addition and as supplement to
the above and all other warranties, the Successful Bidder warrants all
material and workmanship for a minimum of two vears from date of
completion and acceptance by the CITY. If within two years after
acceptance by the CITY, or within such isrger period of time as may be
prescribed by law, or applicable technical specifications, any of the work is
found to be defective or not in accordance with the Contract Documents,
the Successful Bidder shall after receipt of a written notice from the CITY
to do so, promptly correct the work unless the CITY has previously given
the Successful Bidder a written acceptance of such condition. This
warranty does not limit or impair the continuing obligation of
CONTRACTOR to indemnify and hold the CITY harmless from all liability
or causes of action and any damages of any kind whatsoever, including
but not limited to consequential damages, resulting from CONTRACTOR's

errors or omissions and is in addition to that warranty.
24.7 The Successful Bidder warrants to the CITY that it will comply with all
applicable federal; state and local laws, regulations and orders in carrying
out its obligations under the Contract.

24.8 The Successful Bidder warrants to the CITY that it is not insolvent, it is not
in bankruptcy proceedings or receivership, nor is it engag~d in or
threatened with any litigation; arbitration or other legal or administrative
proceedings or investigations of any kind which would have an adverse
effect on its ability to perform its obligations under the Contract.
24.9 The Successful Bidder warrants to the CITY that the consummation of th~
work provided for in the Contract Documents will not result in the breach
.of any term or provision of, or constitute a default under any indenture,
mortgage, contract, or agreement to which the Successful Bidder is a
party.
24.10 The Successful Bidder warrants that there has been no violation of
copyrights or patent rights either in the United States of America or in
foreign countries in connection with the work of the Contract.
24.11 All warranties made by the Successful Bidder tog~t)ler with servi,ce
warranties and guarantees shall run to the CITY and the successors and
assigns of the CITY.
25. RISK OF LOSS
25.1 The risk of loss, injury or destruction, regardless of the cause of the
casualty, shall be on the Successful Bidder until the delivery of the
completed project and facilities to the CITY, and inspection and final
acceptance of the entire project by CITY. Title to all goods, chattel and
facilities shall pass to CITY upon delivery and acceptance of the goods by
CITY as evidenced in writing.
26. PERMITS, FEES AND NOTICES
26.1 The Successful Bidder shall secure for all permits and licenses which may
be required for the proper execution and completion of the work. CITY
shall pay for'all permit and impact fees. CITY Permit and inspection fees
shall be waived. The Successful Bidder shall use its best efforts to obtain
all necessary permits as soon as possible after the date of Contract
commencement. Any delays in obtaining permits must be brought to the
attention of the CITY's Architect without delay.
26.2 The Successful bidder shall give all notices and comply with all laws,
ordinances, rules, regulations and lawful orders of any public authority
bearing on the performance of the work. The CITY shall not be

responsible for monitoring the Successful Bidder's compliance with any
laws or regulations.
27. CLEANING UP
27.1 The Successful Bidder at all times shall keep the premises free from
accumulation of waste materials or rubbish caused by Bidder's operations.
At the completion of the work Bidder shall remove all waste, materials and
rubbish from and about the site as well as all tools, equipment, machinery
and surplus materials,and provide final cleaning and return the space to a
condition suitable for use by the CITY.
28. QELA YS AriD, EXTENSIONS OF TIME
~
28.1 The Contract time may only be changed by a change order or a written
amendment. Any claims for an extension or shortening of Contract time
shall be based upon written notice delivered by the party making the claim
to the other party not more than ten (10) calendar days after the
occurrence of the event giving rise to the claim and stating the general
nature of the claim otherwise it shall be waived. Failure of the CITY to
grant an extension of time shall not be a cause for stopping or delaying
the progress of the work.

28.2 No claim for damages or any claim other than, an extension of time shall
be made or asserted against the CITY by reason of any delays. An
extension of time shall be CONTRACTOR's sole remedy for any delays;
there shall be no claim to damages against CITY by CONTRACTOR for
delays.
29. DEFAULT
29.1 In the event the Successful Bidder shall default in any of the terms,
obligations, restrictions or conditions in the Contract Documents, the CITY
shall give the Successful Bidder written notice by registered, certified mail
or hand delivery to CONTRACTOR's office of the default and that such
default shall be corrected or actions taken to correct such default shall be
commenced within ten (10) calendar days thereof. In the event the
Successful Bidder has failed to correct the condition(s) of the default or
the default is not remedied to the satisfaction and approval of the CITY,
the CITY shall have all legal remedies available to it, including, but not
limited to termination of the Contact in which case the Successful Bidder
shall be liable for all procurement and reprocurement costs and any and
all damages permitted by law arising from the default and breach of the
Contract.
30. TERMINATION FOR CONVENIENCE OF CITY
30.1 Upon seven (7) calendar days written notice delivered by certified mail,

return receipt requested, to the Successful Bidder, the CITY may without
cause and without prejudice to any other right or remedy, terminate the
agreement for the CITY's convenience whenever the CITY determines
that such termination is in the best interest of the CITY. Where the
agreement is terminated for the convenience of the CITY the notice of
termination to the Successful Bidder must state that the contract is being
terminated for the convenience of the CITY under the termination clause
and the extent of termination. Upon receipt of the notice of termination for
convenience, the Successful Bidder shall promptly discontinue all work at
the time and to the e~ent indicated on the notice of termination, terminate
all outstanding sub-contractors and purchase orders to the extent that
they relate to the terminated portion of the Contract and refrain from
placing further orders and sub-contracts except as they may b&
necessary, and complete any continued portions of the work.
31.
ASSIGNfytEl-JI
31.1 The Successful Bidder shall not assign or transfer its rights, title or
interests in the Agreement nor shall Successful Bidder delegate any of the
duties or obligations undertaken by Successful Bidder without CITY's prior
written approval.
32. APPLICABLE LAWS. ORDINANCE. RULES. CODES AND REGULATIONS &
SITE .'
32.1 Familiarity with Laws: Notice is hereby given that the Successful Bidder
must be familiar with all Federal, State and Local Laws, ordinances, rules,
codes and regulations and site conditions that may affect the work and
the relation and affect of these laws and regulations on the site and the
project. Ignorance on the part of the Bidder will in no way relieve him from
the responsibility of compliance therewith. It shall be the duty of the
Successful Bidder to thoroughly investigate all aspects and requirements
of the site, project and specifications prior to submitting a bid. Submission
of a bid shall constitute a statement that the Bidder has fully conducted all
necessary inspections, reviews, and investigations.
33. THIS SECTION LEFT BLANK INTENTIONALLY
34. BID SECURITY
34.1 Each Bid must be accompanied by a certified or cashiers check or by a
Bid Bond made payable to the City of Parkland on an approved form, duly
. executed by the Bidder as principal and having as surety thereon a surety
company acceptable to the CITY and authorized to write such Bid Bond
under the laws of the State of Florida, in an amount not less than five
percent (5%) of the amount of the Bid.
34.2 The Bid Security of the Successful Bidder will be retained until such

Bidder has executed the Contract and furnished the required payment
and performance bonds, whereupon the Bid Security will be returned. If
the Successful Bidder fails to execute and deliver the Contract and furnish
the required Bonds within fifteen (15) calendar days of the Notice of
Award, CITY may annul the Notice of Award and the entire sum of the Bid
Security shall be forfeited. The Bid Security of the three (3) lowest
bidders will be retumed within seven (7) calendar days after the CITY and
the Successful Bidder have executed the written Contract or if no such
written Contrad is executed within ninety (90) calendar days after the date
of the Bid opening, upon the demand of any Bidder at anytime thereafter,
provided that he has not been notified of the acceptance of his Bid. Bid
Security of ail other Bidders will be returned within seven (7) calendas
days after the Bid opening. The attomey in fact or other officer who signs
a Bid Bond for a surety company must file with such a Bond a certified
copy of his power of attomey authorizing him to do so.
34.3 The Bid Security filed with the Bid shall be forfeited in its entirety to the
CITY as liquidated damages if the Bidder to whom the Contract is
awarded fails to execute the Contract Documents within fifteen (15)
calendar days of the Contract Award.
35. ,PAYMENT AND PERFORMANCE BONDS

35.1 Within fifteen (15) calendar days after the Contract Award, but in any
event prior to commencing work, the Successful Bidder shall execute and
furnish to CITY a performance bond and a payment bond, each written by
a corporate surety, having a resident agent in the State of Florida and
having been in business with a record of successful continuous operation
for at least five (5) years. The surety shall hold a current certificate of
authority from the Secretary of Treasury of the United States as an
acceptable surety on federal bonds in accordance with United States
Department of Treasury Circular No. 570. If the amount of the Bond
exceeds the underwriting limitation set forth in the circular, in order to
qualify, the net retention of the surety company shall not exceed the
underwriting limitation in the circular and the excess risks must be
protected by coinsurance, reinsurance, or other methods, in accordance
with Treasury Circular 297, revised September 1, 1978 (31 DFR, Section
223.10, Section 223.11). Further, the surety company shall provide CITY
with evidence satisfactory to CITY, that such excess risk has been
protected in an acceptable manner. The surety company shall have at
least the following minimum qualifications in accordance with the latest
edition of A.M. Best's Insurance Guide, published by Alfred M. Best
Company, Inc., Ambest Road, Oldwick, New Jersey 08858:

35.2 Two (2) separate bonds are required and both must be approved by the

CITY. The penal sum stated in each bond shall be the amount equal to
the total amount payable under the terms of the contract. The
performance bond shall be conditioned that the Successful Bidder perform
the contract in the time and manner prescribed in the contract. The
payment bond shall be conditioned that the Successful Bidder promptly
make payments to all persons who supply the Successful Bidder with
labor, materials and supplies used directly or indirectly by the Successful
Bidder in the prosecution of the work provided for in the contract and shall
provide that the surety shall pay the same in the amount not exceeding
the sum provided in such bonds, together with interest at the maximum
rate allowed by law; and that they shall indemnify and save harmless the
CITY to the extent of any and all payments in connection with the carrying
out of said contract which the CITY may be required to make under the
law. The bond shall insure payment of laborers, material suppliers, and
subcontractors and the timely completion of the project and be in a form
acceptable to the City.
35.3 Such bonds shall continue in effect for one (1) year after final payment
becomes due except as otherwise provided by law or regulation or by the
Contract Documents with the final sum of said bonds reduced after final
payment to an amount equal to twenty five percent (25%) of the Contract
Price, or an additional bond shall be conditioned that the Successful
Bidder correct any defective or faulty work or material which appear within
one (1) year after final completion of the Contract, upon notification by
CITY.
36. lNDEMNIFICA TION
36.1 GENeRAL INDEMNIFICATION: The parties agree that one percent (1%)
of the total compensation paid to Successful Bidders for the work of the
Contract shall constitute specific consideration to Successful Bidder for
the indemnification to be provided under the Contract. To the fullest
extent permitted by laws and regulations, Successful Bidder shall
indemnify, defend, save and hold harmless the CITY, its officers, agents
and employees, from or on account of all claims, damages, losses,
liabilities and expenses, direct, indirect or consequential arising out of or
alleged to have arisen out of or in consequence of the operations of the
Successful Bidder or his Subcontractors, agents, officers, employees or
independent contractors pursuant to the contract specifically including but
not limited to those caused by or arising out of (a) any act, omission or
default of the Successful Bidder and/or his Scbcontractors, agents,
servants or employees in the provision of the goods andlor services under
the Contract; (b) any and all bodily injuries, sickness, disease or death; (c)
injury to or destruction of tangible property, including the loss of use
resulting therefrom; (d) the use of any Improper materials; (e) a defective
condition in any goods provided pursuant to the Contract patent or latent;
(f) the violation of any federal, state, county or municipal laws, ordinances
or state, county or municipal laws, ordinances or regulations by

Successful Bidder his subcontractors, agents, servants, independent
contractors or employees; (g) the breach or alleged breach by Successful
Bidder of any term of the contract including the breach or alleged breach
of any warranty or guarantee. This provision shall survive the termination
of this contract.
36.2 PATENT AND COPYRIGHT INDEMNIFICATION: Successful Bidder
agrees to indemnify, defend, save and hold harmless the CITY, its
officers, agents and employees, from all claims, damages, losses,
liabilities and expenses arising out of any alleged infringement of
copyrights, patent rights and/or the unauthorized or unlicensed use of any
material, property or other work in connection with the performance of th~
Contract. This provision shall survive the termination of this contract.

36.3 Successful Bidder shall pay all claims, losses, liens, settlements or
judgments of any nature whatsoever in connection with the foregoing
indemnification's including, but not limited to, reasonable attorney's fees
(including appellate attorney's fees) and costs. This provision shall survive
the termination of this contract.

36.4 CITY reserves the right to select its own legal counsel to conduct any
defense in any such proceeding and all costs and fees associated
therewith shall be the responsibility of Successful .Bldder under the
indemnification agreement. Nothing contained herein is intended nor shall
it be construed to waive CITY's rights and immunities under the common
law or Florida Statute 768.28 as amended from time to time.
37. INSURANCE
37.1 Bidders must submit copies of their current certificate(s) of insurance
together with the Bid.
37.2 AT THE TIME OF EXECUTION OF THE CONTRACT, THE
SUCCESSFUL BIDDER SHALL SUBMIT ADDITIONAL
CERTIFICA TE(S) OF INSURANCE EVIDENCING THE REQUIRED
COVERAGES AND SPECIFICALLY PROVIDING THAT THE CITY OF
PARKLAND IS AN ADDITIONAL NAMED INSURED WITH RESPECT
TO THE REQUIRED COVERAGE AND THE OPERATIONS OF THE
SUCCESSFUL BIDDER UNDER THE CONTRACT. Insurance
Companies selected must be acceptable the CITY. All of the policies of
insurance so required to be purchased and maintained shall contain a
provision or endorsement that the coverage afforded shall not be
canceled, materially changed or renewal refused until at least thirty (30)
calendar days written notice has been given to CITY by certified mail.
Such notice shall constitute a default by the Successful Bidder.
37.3 The Successful Bidder shall procure and maintain at its own expense and
keep in effect during the full term of the Contract a policy or policies of

insurance which must include the following coverage and minimum limits
of liability:
37.4 (a) Worker's Compensation Insurance for statutory obligations
imposed by Worker's Compensation or Occupational Disease
Laws, including, where applicable, the United States
Longshoremen's and Harbor Worker's Act, the Federal Employer's
Liability Act and the Homes Act. Employer's Liability Insurance
shall be provided with a minimum of One Hundred Thousand and
xx/100 dollars ($100,OOO.00) per accident. Successful Bidder shall
agree to be responsible for the employment, conduct and control of
its employees and for any injury sustained by such employees ir,1
the course of their employment.
(b) ComDrehensive Automobile Liability Insurance for all owned, non-
owned and hired automobiles and other vehicles used by the
Successful Bidder in the performance of the work with the following
minimum limits of liability:

Coverage shall specifically include the following with minimum
limits not less than those required for Bodily Injury Liability and
Property Damage:
1. Premises and Operations;
2. Independent Contractors;
3. Product and Completed Operations Liability;
4. Broad Form Property Damage;
5. Broad Form Contractual Coverage applicable to the Contract
and specifically confirming the indemnification and hold
harmless agreement in the Contract; and
6. Personal Injury coverage with employment contractual
exclusions removed and deleted.
(d) Builders Risk Insurance shall be provided by the Contractor in an
amount not less than the replacement cost for the construction of
the work described herein and as shown on the construction plans.
Coverage shall be "All Risk" coverage for one hundred per cent
(100%) of the completed value with a deductible of not more than
five thousand dollars ($5,000.00) per claim.

37.5 The required insurance coverage shall be issued by an insurance
company authorized and licensed to do business in the State of Florida,
with the following minimum qualifications in accordance with the latest
edition of A.M. Best's Insurance Guide:

Financial Size - VIII
37.6 In addition to the above referenced insurance requirements for the
successful bidder, the successful bidder shall require each of its
subcontractors of any tier to maintain the insurance required herein, witb
the exception that the minimum limits of liability shall be reduced to
$100,000.00/ $200,000.00 (under FS 768.28) for all coverage's (Worker's
Compensation, Comprehensive Automobile Liability and Comprehensive
General Liability). The successful bidder shall provide verification thereof
to City upon request of City.
37.7 All required insurance policies shall preclude any underwriter's rights of
recovery or subrogation against CITY with the express intention of the
parties being that the required insurance coverage protect both parties as
the primary coverage for any and all losses covered by the above
described insurance.

37.8 The Successful Bidder shall ensure that any company issuing insurance
to cover the requirements contained in this Contract agrees that they shall
have no recourse against CITY for payment or assessments in any form
on any policy of insurance.
37.9 The clauses "other Insurance Provisions" and "Insurers Duties in the
Event of an Occurrence, Claim or Suit" as it appears in any policy of
insurance in which CITY is named as an additional named insured shall
not apply to CITY. CITY shall provide written notice of occurrence within
fifteen (15) working days of CITY's actual notic:e of such an event.
37.10 The Successful Bidder shall not commence work under the Contract until
after he has obtained all of the minimum insurance herein described.
37.11 The Successful Bidder agrees to perform the work under the Contract as
an independent contractor, and not as a sub-contractor, agent or
employee of CITY.
37.12 Violation of the terms of this paragraph and its subparts shall constitute a
breach of the Contract and Clr(, at its sole discretion, may cancel the
Contract and all rights, title and interest of the Successful Bidder shall
thereupon cease and terminate.

Nutting Engineers of . Florida, Inc. has performed a geotechnical explorati9n for the
proposed city hall building to be located at the northeast corner of University Drive and
Hobnberg Road in Parkland, Florida. The purpose of this exploration was to obtain
infonnation concerning the subsurface soil conditio'ns at the site in order to evaluate I
foundation design alternatives for the support of the proposed construction. This report
presents our findings and recommendationS.

. PROJECT INFORMATION .
We understand that a single-story city hall building, covering approximately 16,000 square
feet, will be constructed on the above mentioned location. Part of the structure will consist
of an atrium, which has a maximum height of 40 feet above finished floor. Additional
improvements will include parking and drive pavement areas. The test borings were
located using approximate methods at the locations es~b1ished by the principal
geotechnical engineer.

GENERAL SUBSURFACE SOIL CONDmONS
According to the Broward County Soil Survey, the area investigated in its natural state
COnsl'its of Hall3Jldale fine s:md. The Hall:mdale series is a nearly. level, poorly drained
sandy soil underl:1in with limestone at a depth of7 to 20 inches below the ground surface.
The limestone h:lS numerous sand and rock tilled vertical solution holes within its
form:1tion. Depth to the limestone is variable within short distances because of the
irregular surface of the limestone :md numerous sand filled solution holes. The borings
perfonned for this project revealed soil conditions similar to tho~ described in the soil
survey. Note that the soil surveys were typically limited to :m approximate depth of six
feet. . .

The test borings revealed a general geologic profile consisting of medium dense light tan
to brown quartz 3Jld calc:lfeous fine sands from the ground surface to an approximate
depth of 1.5 to 2 feet. From 1.512 to 3 feet light tan quartz fine sand Jnd limestone
fragments was el\Countered, which is underlain with medium hard to hard limestone and
tan calcareous sand with traces of shell fragments to an approximate depth of 12 feet
From 12 to 25 feet, the m:1Ximum depth explored, medium dense tan to brown quartz fine
to medium s:md W:lS encountered. Test boring B-1 revealed clayey fine sand at an
approximate depth of 22.5 to 25 feet below the ground surface.
(: The groundwater level wns measured at the boring locations at the time of drilling. The
groundwater was encoun.tered at depths ranging from approximately 3 to 3.5 feet below
the existing ground surface. This elevation is subject to change because of adjacent canal
. level fluctuation, seasonal climatic changes, construction activity, and other site specific
factors. i

GENERAL FOUNDATION RECOl'vIMENDA nONS
Settlement Analysis
Based on nIl allowable sojI bearing pressure of 3,000 pounds per square foot, a continuous
footing width of 1.5 feet,:an individual column footing (3ft X 3ft). both at a depth of2 feet
and results of the test borings, a settlement analysis was perfonned using the
. Schmertmann method. It W:lS detennined that with adequate compaction of the foundation
soils. total settlements should, be less than approximately one inch.
Foundation Analysis
f
Once the site has been prepared in accordance with our site prep3ration recommendations
presented in this report, the proposed city hall building at the referenced project may be
supported on a shallow foundation system using :m allowable soil bearing pressure of
3,000 pounds per square foot. The foundation recommendation assumes no lateral nor
uplift forces being applied. this will be up to the structural engineer to determine.

We note that the site is approximately one foot below the road crown of Holmberg Road
which indicates that structural fill will be required to bring the site to fInal construction
grades.
We recommend a minimum width of 18 inches for continuous footings and 36 inches for
.. individual footings. even though the soil bearing capacity may not be fully developed in all
cases. We recommend that the bottom of foofings be a minimum of 12 inches below the
lowest adjacent fmished grade. .
Foundation Preparation
"
~
All grass, weeds. root zones should be stripped and removed from the construction area to
a lateral distance of at least 5 feet beyend the proposed exterior building limits. The
stripped. surface should be observed by a Nutting representative. The stripped swface
should be soaked and then compacted with a minimum of 25 overlapping passes per unit
area of a vibratory 'compactor' imparting po minimum dynamic force of 20 tons. The
compactor should operate at a maximum speed of 2 feet per second, at the high frequency
setting.
The upper 24 inches of the compacted surface should be checked with field density
tests equivalent to 95 percent of the modified Proctor maximum dry density.
Structural till needed to bring the site to construction grade should be placed in lifts not
exceeding 12 inches in loose thickness wheni using the recommended compaction
f equipment described previously. Each lift should ~ thoroughly compacted until densities
equivaJent to 95 percent of the Modified Proct~r maximum dry density are unifonnly
obtained. !
The upper 12 inches of footing and floor slab s~bgrades should be compacted to 95
percent of the modified Proctor maximum dry dens~ty prior to the placement of concrete.
Pavement Areas
The parking and drive pnvement areas should consiSt of a minimum 12 inches of stabilized
subgrade compacted to an equivalent density of ~8 percent of the modified Proctor
maximum dry density. The subgrade soils should have a minimum Limerock Bearing Ratio
(LBR) of 40. The parking 'areas should have a minimum of 6 inches of base course
J' material and the drive areas should have a minimum' of 8 inches of base course material
The base material should have a minimum LBR of 100 and should be compacted to 98
percent of the modified Proctor maximum dry density. The entire pavement area should
have a minimum of 1.5 inches of flexible asphaltic concrete over the base materials. The
a.<;phaltic concrete should be compacted and tested with backscatter densities equivalent to
the Marshall value determined by the asphalt manufacturer. Additional pavemem
recommendations can be provided upon provision of detailed pavement plans.

GENERAL INFORMATION
Difficult excavation of utilities and footings (dependent on finish. floor grades)
should be anticipated due to the hard limestone fonnation encountered. Dewatering
may be necessary when excavating' utilities and footings (dependent on finish floor
grades) due to the high water table.
Prior to initiating compaction operations, we' recommend that representative samples of
the natural ground material and the strUctural fill material to be used be collected and
tested to determine their compaction and classification characteristics. The maximum dry
density, optimum moisture content, gradation and p1asti~ity characteristics ought to be'
determined. These tests are needed for compaction quality control of the structural fill and
natural ground soils, and to determine if the fLIt material is acceptable. -

A repreSentative nurhber of in-place field density tests should be perfo:ffiled in the
compacted existing soils and in the structural fill or bacldill to confinn Utat,the required'
degree of compaction is obtained. ' .

The vibratory compaction equipment will cause vibrations that could be felt by persons
within adjacent buildings and could cause plaster or stucco cracking wjthin .these
buildings. Excavation' of a vibration isolation trench and working parnllel'to and away
from buildings to be protected have proven successful in reducing transmitted vibration
intensity. The cont.ra.ctor should exercise due care during performance of the vibratory
compaction work. If such vibrations are not considered tolerable then alternate foundation
modification techniques should be considered. I

If conditions are encountered which are not consistent with the findings presented in this
report, or if proposed construction is moved from the location investigated, this office
shall be notified immediately so that the condition or change can be eval~a.ted and
appropriate actioq tnken. .

1. This Agreement shall consist of the Contract Documents, of which this is a
part. The Contract Documents shall consist of this agreement, the entire
Bid packet and all documents contained therein, Including, but not limited
to, the instructions to Bidders, the General Conditions, the supplementary
General Conditions, any special conditions <as revised), any
supplementary conditions" all Construction Plans, drawings and technical
specifications and the bid and all bid forms and questionnaires submitted
by the Contractor (except those provisions of the Bid not accepted by the
OWNER) and any addendum issued by the CITY. All said documents and
provisions contained therein shall be binding contractual provisions.

or other providers of goods and services are paid in full for services
properly rendered. This shall be the full responsibility of the
CONTRACTOR and a requirement for payment.
5. Based upon application for payment submitted to the Architect, by
CONTRACTOR and certificates for payment issued by th@ Architect, t~e
OWNER shall make progress payments on account of the contract sum as
set forth below or elsewhere in the contract documents.
5.1 No progress paymen~ shall be made more often than 30 day cycles. The
first 30 day cycle shall begin 30 calendar days after Commencement of
construction and continue thereafter In 30 day intervals provided that
application for payment be made within 3 days of the commencement of
each period. The architect shall then have 7 days to review the application
for payment and either approve or deny the application or authorize a
payment of a lesser . amount. The OWNER shall, within 20 days of any
certificate for pay~ent from the Architect, make the payment set forth in
the certificate less a 10% retainage which shall be ret::lined by the OWNER
to assure final completion of the work according to the Contract
Documents.
5.2 Each application for payment shall be based upon the schedule of values
submitted by the Contractor in accordance with the contract documen~.
The schedule of values shall fairly allocate the contract sum among the

various portions of the work and be prepared by the CONTRACTOR, but
must be approved in writing by the Architect. In case the Architect and
CONTRACTOR cannot agree on a schedule of values, the Architect shall
determine the schedule of values to be used.
5.3 Applications for payment shall Indicate the percentage of completion of

each portion of the work as of the end of the. period covered by the
application for payment. The architect may require additional
substantiation with regard to said percentage of completion which shall be
immediately provided by the CONTRACTOR. The provisions of Section 9.5
and 9.8 of the General Conditions shall, in addition to these provisions
govern all progress payments.

5.4 The Architect may subtract from the certificate of payme~t any amounts
provided for by Sec. 9.5 of the General Conditions of any amount which the
Architect deems to represent work not completed in strict compliance with
the contract documents.
5.5 Upon substantial completion of all work, the Architect shall have the sole
discretion to reduce the retalnage amount to 5% provided there has been
no delay in the work. However, Architect may still withhold amounts
representing work which Architect deems incomplete or inconsistent with
the. contract documents or unsatisfactory or the amount of any unsettled
claims or withh~ld amounts set forth in Section 9.5.1 of the General
Conditions.
5.6 All applications for payment shall contain an affidavit from CONTRACTOR
that all subcontractors, laborers, materialmen, and other providers of
services have been paid in full for services to date. The Architect may also
request other assurances from the CONTRACTOR, including, but not
limited to full or partial releases or waiver of liens.

6. Payment upon substantial completion shall be made by the OWNER to the
CONTRACTOR when substantial completion has been achieved and the
CONTRACTOR has executed an affidavit that all subcontractors,
materialmen, laborers, suppliers of goods and services and any other
agents or employees engaged by subcontractors have been fully paid and
no sums are due and owing to any other parties on account of wor~
performed, and that work Is substantially complete in accordance with the

contract documents and the Architect issues a certificate for payment
Indicating that substantial completion has been achieved. As a
prerequisite to payment, the Contractor shall supply the necessary
releas.. and waivers of liens to assure the Owner and Architect that all
subcontractors, materialmen, providers of goods and services and all other

payment at the time of substantial completion shall also contain an
acknowledgment of the work remaining in order to achieve final completion
which acknowledgment must be approved as to content by the Architect.
7. Final payment shall be made upon execution of a certificate for payment
which reaffirms (by affldavitt the fact that all subcontractors, materialmen,
laborers, suppliers of goods and services and any other agents or
employees engaged by subcontractors have been fully paid and no sums
are due and owing to any other parties on account of work performed and
that there are no valid claims of liens by any parties participating in the
work in any way and that the work is complete in all respects in
accordance with the contract documents. The OWNER shall make final
payment upon receipt of a certificate for payment which concludes that the
applications for final payment are correct and that final completion has
been achieved. All necessary releases and waivers of liens as specified
above must be submitted to the satisfaction of the Owner and Architect.

(or other form acceptable to the Architect) for monthly payment and such
other documentation as specified herein.
The OWNER shall not be liable for any preJudgement interest for any
amounts not paid to contractors for amounts In excess of those amounts
contained in the certificate for payment by the Architect.

SUPPLEMENTARY GENERAL CONDITIONS TO AlA DOCUMENT A 201
PART 1 . GENERA~
In the event of any conflict between these "Supplementary General Conditions" and
.,
said "General Conditions", the more stringent requirements shall govem as determined
by the CITY.
The General Conditions of the Contract are the American Institute of Architects'
Standard Document A201, "General Conditions of the Contract for Construction II ,
1987 Edition, and are hereby made part of this Specification subject only to the
changes noted herein, and hereafter referred to as the "General Conditions".
(, Where more specific provisions are set forth in the documents or other sections of the
contract, those provisions shall be read in conjunction with these General Conditions
with any additions or inconsistencies. being construed in favor of the CITY as additional
protection to the CITY interest and rights.
Where the General Conditions are more specific or afford the CITY more
protection or additional rights, then the contract shall be construed to give those
provisions effect Where other provisions afford the CITY more protection or give
the CITY additional rights, then the Contract shall be construed to give those
provisions effect The Contractor agrees that all provisions of the contract shall,
in cases of ambiguity or'doubt, be construed In favor of the CITY and that in case
of conflicting provisions, those provisions should be read in the light most
favorable to the CITY.

AS-BUILT DRAWINGS AND SURVEY
A marked-up set of prints will be kept up-to-date by the CONTRACTOR on the job site
at all times. All trades to neatly record any and all variances to the plans as the work
progresses. This record will be subject to monthly review by Architect as a precondition
for monthly payment, and must be given to the CITY at the completion of the work, and
.,
properly labeled "As-Built Drawings". Contractor shall also prepare one final
reproducible set of the construction drawings revised to "As Builf conditions. One set
of reproducible plans will be provided by Architect as base sheets, at the firm's standard
plottin~ charge of $13.50 per sheet. All drafting shall be accurate, neat, legible and
conforming to good professional standards, to Architect's satisfaction.
In addition to the "As-Built Drawings", the CONTRACTOR will cause to have prepared
by a Surveyor, registered in the State of Florida, utility "As~ built" surveys which shall
clearly represent subsurface improvements work done under this Contract as required
by the Utility Providers and the CITY. The CONTRACTOR will also cause to have
prepared by a Surveyor, registered in the State of Florida, an "as-built" road rock survey
showing final rock elevations at all road elevations shown on the design plan. "F" type
curb and gutter "as-built" elevations every 50 ft shall also be shown on the road rock
"as-builf survey. The CITY shall provide above ground survey services for any
required easement.
At the completion of the applicable work, the General CONTRACTOR shall furnish four
(4) certified prints and a sepia on 3 mil mylar of the utility and road rock "As-built"
surveys to the CITY.
This is a critical item and final payment will be withheld from the CONTRACTOR until
acceptable "As-Built Drawings" and surveys are furnished to the OWNER's
representative.

There are no requirements for ground or aerial photographs in this project.
OWNERSHIP OF DRAWINGS
All drawings, specifications and copies thereof furnished by the CITY are the CITY's
property. They are not to be used on other work and with the exception of the signed

contract sets, are to be returned to the CITY on request at the completion of the work.
APPLICATION AND CERTIFICATE FOR PAYMENT
CONTRACTOR shall submit to Architect and OWNER AlA Document G702 (or other
form acceptable to the Architect) for monthly payment. A ten percent (10%) retainage
shall be held for all completed work.
(' SPECIAL HURRICANE PRECAUTIONS

During such periods of time as are designated by the United States Weather Bureau as
being a hurricane warning or alert, all construction materials or equipment shall be
secured against displacement by wind forces; provided that where a full complement of
personnel is employed or otherwise in attendance, or engaged for such protection
purposes, normal construction procedures or uses of materials or equipment may
continue allowing such reasonable time as may be necessary to secure such materials
or. equipment before winds of hurricane force are anticipated. Construction materials
and equipment shall be secured by guying and shoring, by tying down loose materials,
equipment and construction sheds.
CONTRACT TIME AS IT RELA rES TO LIQUIDATED DAMAGES
Upon failure of the CONTRACTOR to complete said Contract within the specified
period of time (plus approved extensions, if any) the CONTRACTOR shall pay to the

additional expense to the Owner. The Owner assumes no responsibility for any
understanding or representations concerning conditions made by any of his officers or
agents prior to the execution of the Agreement, unless such understandings or
representation by the Owner are expressly stated in the Agreement.
ARTICLE 2: OWNER

2.5.1 The Owner reserves the right to take possession and use any completed
or partially completed portion of the Work regardless of the time of completion of the
Work, providing it does not interfere with the Contractor's Work. Such possession or
use of the Work shall not be construed as final acceptance of the Work or any portion
thereof.
{ ARTICLE 3: CONTRACTOR
3.2 Review of Contract Documents and Field Conditions by CONTRACTOR
3.2.1
The second sentence shall be modified as follows:
"The CONTRACTOR shall not be liable to the OWNER or Architect for damages
resulting from errors, inconsistencies or omissions in the Contract Documents unless
the Contractor is aware of the errors, inconsistencies or omissions or where the errors,
inconsistencies or omissions are patent and obvious and as a result of their patent and
obvious nature, it would be unreasonable for a Contractor to fail to recognize such
error, inconsistency or omission, and the Contractor fails to report it to the Architect.
3.3 Supervision and Construction Procedures

Add to 3.3.5:
To all applicable sections of the Specifications where preparatory work is part of work
thereon, contractor shall carefully examine surfaces over which his finished work is to
be installed, laid or applied, before commencing with his work. Contractor shall report
in writing to the Architect any conditions which may affect satisfactory execution of his
work or endanger its permanency.
Contractor shall not proceed with said work until defective surfaces on which work is to
be applied are corrected satisfactorily to the Architect. Commencement of work shall
be considered acceptance of surfaces and conditions.
3.4 labor and Materials
Add the following Subparagraphs to 3.4:

"OR APPROVED EQUAL" CLAUSE: Where several items of material, manufacturers,
fabricators are specified by name for specific use, CONTRACTOR may elect for use
any of those specified, except as described in Paragraph hereinafter.
Where in these Specification names of particular products, manufacturers, materials are
specified by a brand or trade name, such has been done to establish required quality
and type. DURING BID PERIOD ONLY, unless another time of submittal is specifically

identified in the technical specifications, bidder may request ARCHITECT to consider
another brand or trade name providing such substitution request is made in writing to
ARCHITECT at least fourteen (14) calendar days prior to the Bid Opening Date.
Bidder shall be fully responsible for providing an itemized comparison of the salient

characteristics of the proposed substitution with those of the specified brand or trade
name, sufficient to demonstrate "equal" qualities to Architect's satisfaction. Incomplete
or inadequately documented requests will not be approved. No Addenda listing
approved substitutions will be issued later than seven (7) calendar days prior to the
date for receipt of bids.. "NAMED PRODUCTS" are indicated on plans and in
specifications by use of the manufacturer's name for a product, including such items as
make, model or color, etc. These items may appear on finish schedule legend, materi~
details, etc. on these plans. These items take precedence over generic material listed

approval of the Architect as specified above.

After the Contract has been executed, the OWNER and the Architect will not consider
any requests for the substitution of products in place of those specified, except for
extended strikes (length as determined by Architect) or out of business, or other
unusual or extraordinary circumstances as determined in the sole discretion of the
Architect. Any reviews requested' for substitutions after execution of Contract will be
performed by the Architect/Engineer on an hourly fee basis. An hourly rate of $90.00
per hour will be charged to the General Contractor.
3.4.4:
By making requests for substitutions based on Subparagraph 3.4.3 above, the
Contractor:
a) represents that he' has personally investigated the proposed substitute product
and determined that is equal or superior in all respects to that specified;
b) represents that he will provide the same guarantee for the substitution that he
would for that specified;

c) certifies that the cost data presented is complete and includes all related costs
under this Contract but excludes costs under separate contracts and excludes
the Architect's redesign costs, and waives all claims for additional costs related
to the substitution which subsequently become apparent;
d) will coordinate the installation of the accepted substitute, making such changes
as may be required for the work to be complete in all respects. .,
3.4.5:
Each Subcontractor shall carefully layout his own wort< on the job site and verify all
field measurements and make required provisions for work of other Subcontractors.
Offsets shall be made subject to Architect's approval wherever it is necessary to clear
finished rooms, structural members and/or other obstructions.
3.4.6:
Workmanship shall be provided to the satisfaction of the Architect in best and most
modern available methods and in a workmanlike manner.
3.6 Taxes
Delete section 3.6.1 and add the following
3.6.1 Sales Tax Recovery
Scope
This project is not exempt from State or Local Sales and Use Tax. All materials and
equipment incorporated and used in the construction of the work and becoming a

permanent part of the project are subject to State and Local Sales and Use Tax.
It shall be the bidder's sole responsibility to incorporate into the bid proposal any and all
of the applicable taxes.
The City of Parkland is exempt from payment of State and Local Sales and Use Tax on

building materials and equipment purchased directly by the City of Parkland. Any State
and Local Sales and Use Tax on items not purchased directly by the City will be paid for
by Contractor. The City of Parkland shall have the option (at its sole discretion) of
purchasing all or any portion of the materials and equipment included in each
construction contract directly from the manufacturer or supplier in accordance with the
following procedure:
Process

The Contractor will provide to the City of Parkland, a list of the major equipment and
materials included in the project, along with the Contractor's cost of same from vendors
and/or suppliers.
The City of Parkland shall review this list and determine which items of equipment and
materials, if any, the City of Parkland will purchase directly.
Upon .determination by the City of Parkland that an item will be purchased directly by
the Cit'1 of Parkland, such item shall be procured as follows:
The Contractor agrees to comply with the Sales Tax and Recovery Program should the
City of Parkland decide to exercise its option to purchase the materials directly from the
vendors. The cost of materials, purchased by the City of Parkland, and sales tax will be
deducted from this contract by Change Order. The value of the sales tax savings is not
to be used in calculating the lump sum contract price.

Sales Tax Recovery Addendum (Sample)
1. The purchases shall be in the City of Parkland's name with ownership of the item
upon receipt vested in the City of Parkland.
2. The purchases shall be by the City of Parkland's Purchase Order directly issue~
and funded by the City of Parkland.

3. Notwithstanding, the City of Parkland's payment for selected items, the
Contractor assumes full responsibility for any change in price and liability
associated with selecting and ordering the proper quantity and type of materials
and equipment, for scheduling the appropriate delivery date, selection of the
appropriate vendor or supplier, the correctness of the Purchase Order and
receipt report and the storage, delivery, and protection of the e,$:1uipment andlor
material.
4. At the time the purchase order is written, a deductive change order to this
contract will be written for the amount of the purchase order plus sales tax.
5. Vendor/Supplier shall invoice the City of Parkland directly for payment which
shall be made directly by the City of Parkland to the Vendor/Supplier.
6. The City of Parkland's Purchase Order shall clearly state the purchase is exempt
from Sales Tax pursuant to the City of Parkland's Sales and Use Tax Exemption
Certificate.
7. The Contractor will provide a Builder's Risk policy with the City of Parkland
named as . additional insured'.
8. Acknowledgment of receipt. of the item and approval for payment shall be
documented by an official of the City of Parkland or an authorized agent of the
City of Parkland.
9. All amounts purchased by the City of Parkland for sales tax savings will be
credited toward the Contractor achieving his goal, as if no sales tax recovery was
used.
10. The Sales Tax Recovery Program will not alter the Contractor's requirement to

provide payment and performance bonds for 110% of the contract award, or
warranty .
11. In order for the City of Parkland to take advantage of its option to recover sales
tax savings, the amount encumbered for this Amendment, will be the contract
price, reduced by the estimated cost of material to be directly purchased by the
City of Parkland and the associated sales tax. Any variation in the final cost of

the direct purchased material from that of the estimate, will be resolved in a
future Amendment.
12. The City of Parkland will purchase builder's risk insurance for the Project as
evidenced by an insurance binder. An endorsement to the policy provides that
the City of Parkland will be the sole insured for the builders risk coverage on all
materials and property up until such time as it is permanently installed and that
prior to installation, but while delivered andlor stockpiled, the City ~f Parkland

has the sole insurable interest in the property and is the sole beneficiary of any
loss payment for said property.
Based on the foregoing, the legal incidence of the sales tax is directly upon the City of
Parkland for building materials the City of Parkland desires to purchase where the
purchases are made pursuant to the Sales Tax Recovery provisions of the construction
contract. Such purchases made pursuant to the construction contract may be made
exempt from sales tax under s. 212.08(6), F.S.

care or- by the application of the level of skill attendant to its responsibilities, or if
Contractor knew or should have known of or discovered any material nonconformity's.
3.12 Shop Drawings, Product Data and Samples:
Add 3.12.12:
No time extensions will be allowed to the Contractor for re-submittals of shop drawings,
product data and samples.
Add 3.12.13:
All shop drawings, diagrams, schedules, illustrations, charts, brochures and other data
specifically prepared for the work by the Contractor transmitted to the CITY shall be
subject to Florida Public Records Law.
Add 3.12.14:
If initial two submittals of a shop drawing are rejected by Architect, subsequent reviews
will be billed on an hourly rate to General Contractor. Funds from Contract Sum will be
withheld. Contractor to provide thorough review and checking of all submittals prior to

The Architect has other responsibilities and obligations the benefits and rights of which
inure strictly to the benefit of OWNER as a result of a separate contract between
OWNER and Architect. Nothing contained herein shall be construed as diminishing,
reducing or in any way altering those responsibilities or obligations and OWNER retains
all rights, benefits and remedies provided therein. Contractor may not interpose any
such provisions of the contract between OWNER and Architect as an excuse,

avoidance or defense relative to Contractor's duty to perform.
Under no circumstances shall failure to act on a claim constitutes a basis for
suspension of work by Contractor unless directed in writing by OWNER.
ARTICLE 5: SUBCONTRACTORS
MODIFY 5.2.1 AS FOLLOWS:
At the end of the subparagraph, ADD the words "Subcontractor as used herein shall be
as defined in Florida Statute 713.01 (16). Subcontractor means a person other than a
material supplier or a laborer who enters into a Contract for the performance of any
such Contractor's Agreement".
ARTICLE 7: CHANGES IN THE WORK
7.2 Change Orders
7.2.2 Delete in its entirety and add the followina:

may include those methods listed in Subparagraph 7.3.3 as determined in the sole
discretion of the OWNER.

reasonable written notice in advance to the department of the CITY having charge of
any property or utilities owned by the CITY and to any other OWNER or OWNERs of
public or private property or utilities when they will be affected by ~ the work to be

performed under this Contract. The Contractor shall make all necessary arrangements
with such department, departments, OWNER or OWNERs for the removal and/or
replacement or protection of such property or utilities.
10.2.5:
Is Amended to provide that the word "oromotlv" shall be deleted from the first line and
that "immediately" shall be substituted in its place. The sentence shall read as
follows:
"The Contractor shall immediately remedy damage and loss (other than damage
or loss insured under property insurance required by the Contract Documents) to
property referred to in Clauses 1 0.2.1.2 and 1 0.2.1.3 caused in whole in part by
the ...."

No claim for damages or any claim other than for an extension of time shall be made or
asserted against the City by reason of any delays. The Contractor shall not be entitled

to an increase in the contract sum or payment or compensation of any kind from the
City for direct, indirect, consequential, impact or other costs, expenses or damages,
including but not limited to costs for acceleration or inefficiency arising because of
delay, disruption, interference or hindrance from any cause whatsoever, whether such
delay, disruption, interference or hindrance was avoidable or unavoidable; provided
however, that this provision shall not preclude recovery of damages by the Contractor
for hindrances or delays due solely to fraud, bad faith or active interference on the part
of the City or its agents. Otherwise, the Contractor shall be entitled 'only to extensio'ns
of the contract time as the sole and exclusive remedy for such resulting delay in
accordance with and to the extent provided for herein.
Notwithstanding any language contained in the Contract, the OWNER and the
Contractor do hereby acknowledge and agree that the Contractor shall indemnify and
save harmless the CITY, its agents and employees, from and against any claim,
demand or cause of action whatsoever kind of nature, arising out of error,omission or
negligent act of Contractor, its agents, servants or employees, in the performance of
services under this Agreement, including but not limited to damages or injuries caused
to persons as a result of errors of omissions or defects in the Contractor's work.
The obligation of the Contractor to indemnify the CITY is not subject to any offset,
limitation or defense as a result of any insurance proceeds available to the CITY or
Contractor. The obligation shall survive the Contractor's conclusion of the work and
any warranties referred to in the Contract Documents.

The right to suspend work provided for above shall not affect in any way OWNER's right
