1996-40 Reciprocal Cross Easement and Parking Agmt between City & Kol Tikvah " . , . 97-656132 T#001 12-16-97 02:24PM RESOLUTION NO. 96-40 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF PARKLAND, FLORIDA, APPROVING A RECIPROCAL CROSS EASEMENT AND PARKING AGREEMENT BE'lWEEN THE CITY OF PARKLAND AND PARKLAND JEWISH CENTER, INC. ("KOL TIKV AH"); CONTAINING AN EFFECTIVE DATE. WHEREAS, the City Commission of the City of Parkland, Florida approves entering into the attached Reciprocal Cross Easement and Parking Agreement between the City of Parkland and Parkland Jewish Center, Inc. ("Kol Tikvah"); WHEREAS, the City of Parkland City Commission believes that the proposed agreement is in the best interests of the citizens of Parkland; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF PARKLAND, FLORIDA: Section 1. The City of Parkland does hereby approve entering into the attached Reciprocal Cross Easement and Parking Agreement between the City of Parkland and Parkland Jewish Center, Inc. ("Kol Tikvah") to provide non-exclusive easements for ingress and egress of vehicular (including bicycles) and pedestrian traffic over and across the driveways, sidewalks, roadways and parking areas to provide access to and from University Drive. "".,' ~ .. , RESOL. 96-40 RECIPROCAL CROSS EASEMENT and PARKING AGREEMENT 1 2 3 4 THIS RECIPROCAL CROSS EASEMENT and PARKING AGREEMENT 5 ("Agreement") is entered into this 18 day of December, 1996, by and between the CITY OF 6 PARKLAND ( "PARKLAND" ) and PARKLAND JEWISH CENTER, INC. (" KOL 7 TIKV AH"). 8 WHEREAS, PARKLAND is the owner of the real property located in Broward County, 9 Florida and described in Exhibit A attached hereto upon which property it intends to construct 10 municipal facilities ( the "Parkland Property" ) and KOL TIKV AH is the owner of the real 11 property contiguous thereto ( the "KOL TIKV AH Property" ), described in Exhibit B attached 12 hereto and . 13 WHEREAS, under the plan for development the properties shall share access and 14 parking facilities upon the terms and conditions set forth below. 15 NOW, THEREFORE, in consideration of mutual covenants set forth herein and receipt 16 of consideration deemed sufficient and adequate by both parties, each party does he:reby grant the 17 following easements to one another upon the conditions as hereinafter set forth: 18 SECTION 1. PARKLAND and KOL TIKV AH hereby grant to one another pennanent, 19 non-exclusive easements for ingress and egress of vehicular (including bicycles) and pedestrian 20 traffic over and across the driveways permitted access area, as shown on the Parkland Municipal 21 Center Plat, on the North West comer of the Parkland Property contiguous to University Drive as 22 well as sidewalks, roadways and parking areas ( as limited in Section 2) now or hereafter located 23 at the PARKLAND PROPERTY and KOL TIKV AH PROPERTY in order to provide access to 24 and from University Drive and each such properties. 25 SECTION 2. Parkland and Kol Tikvah hereby agree that this easement includes an 26 easement for the parking of vehicles, including bicycles, by Parkland City Hall and the Kol 27 Tikvah Temple and the employees, invitees, and guests using Parkland City Hall and Kol Tikvah 28 Temple. The easement for parking is therefore limited to over-flow parking for the Temple and m ~ N ...,J .r;- N o -0 <0 o N (J1 N " . 1 for Parkland City Hall. Further, Kol Tikvah may not count any parking spaces on the City's 2 property as parking spaces for the purposes of satisfying it<; off-street parking requirement as 3 required by the City Code. Nothing set forth herein shall relieve Kol Tikvah from the obligation 4 to meet the requirement of the City's off-street parking requirement. 5 SECTION 3. This agreement is strictly limited as set forth herein and shall grant no 6 other right or license or otherwise burden the Parkland Property or Kol Tikvah Property. 7 SECTION 4. Each Parkland and Kol Tikvah shall each defend, indemnify and hold the 8 other hannless from any and all causes of action, liability, judgements, costs or attorney's fees of 9 any kind whatsoever, in any way resulting from the use of the other's property for the purposes 10 set forth herein, provided however that Parkland's indemnity shall be limited as provided by law 11 and shall not include the negligence of the parties not working for Parkland or under Parkland's 12 operation control. Kol Tikvah shall obtain liability insurance in an amount no less than 13 $300,000.00 in a form acceptable to the City Manager for Parkland, which policy shall name 14 Parkland as an additional named insured and shall provide that Parkland shall receive at least 30 15 days notice of cancellation or duration of said policy. 16 SECTION 5. Kol Tikvah expressly acknowledges that its access to the Kol Tikvah 17 Property over and across the Parkland Property shall in no way interfere with the access to the 18 Parkland Property, which rights shall take precedence over the rights ofKol Tikvah created 19 hereunder. Parkland acknowledges that its access to the Parkland Property over and upon the Kol 20 Tikvah Property shall in no way interfere with the access to the Kol Tikvah Property, which right 21 shall take precedence over the rights of Parkland created hereunder. 22 SECTION 6. Parkland and Kol Tikvah reserve the exclusive right to design, landscape 23 and otherwise decorate their respective properties in the manner of their choosing and in their 24 sole and absolute discretion provided same does not unreasonably interfere with the rights 25 established hereunder, provided that Kol Tikvah shall comply with all City codes, rules and 26 regulations in such design and decorations. 27 SECTION 7. Should either party violate any term or condition of this Agreement and 28 such violation not be cured within 30 days after receipt of notice of such violation to the other CD 7'!; N -' ~ N o .." Q:) o N en CN " ' 1 party hereto, this agreement may, at the election of the non-defaulting party be terminated upon 2 the expiration of 60 days from the date of the original notice to the other. If, however the default 3 is one in which can be cured over the passage of time, not in excess of30 days, and the 4 defaulting party diligently and continuously undertakes measures to correct its default until its 5 default is cured, the non-defaulting party shall not be entitled to terminate this Agreement. 6 SECTION 8. This Agreement shall be binding upon and inure to the benefit of the 7 owners of the Parkland Property and the Kol Tikvah Property, their grantees, successors and 8 assigns as covenants running with the land. 9 SECTION 9. Whenever either party desires to give notice unto the other, it must be 10 given by written notice sent by certified or registered mail, return receipt requested, addressed to 11 the party to whom it is intended, at the place specified as a place for giving such notice.
