1990-02 Agreement betw Parkand & Mecca Farms-Entrance Way of Terramar II on Parkside Dr.RESOLUTION NO. 90 - 2 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF PARKLAND, FLORIDA, AUTHORIZING THE CITY OFFICIALS TO EXECUTE AN AGREEMENT BETWEEN THE CITY OF PARKLAND AND MECCA FARMS, INC. (TERRAMAR II ENTRANCE WAY) WHEREAS, the City Commission of the City of Parkland finds and determines that it is in the beet interest of the citizens of the City to enter into the attached Agreement with respect to an entrance way for the Mecca Farms Development, Terramar II: NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF PARKLAND, FLORIDA, that: Section 1: That the appropriate City officials are here by authorized to execute the attached Agreement between the City of Parkland, Florida and Mecca Farms, Inc.: Section 2: That this Resolution shall be in full force and effect immediately upon its passage and adoption. THIS DEVELOPERS AGREEMENT (hereinafter referred to as "AGREEMENT") is made and entered into this 17 day of January , 1990 by and between the CITY OF PARKLAND, 8 municipal corporation of the State of Florida (hereinafter referred to as "CITY") and MECCA FARMS, INC., a Florida corporation (hereinafter referred to as "DEVELOPER"). WITNESSETH WHEREAS, THE CITY and Broward County have approved a Planned Unit Development (PUD), pursuant to Broward County Ordinance Number 88-63, which is known as the Mecca PUD, which is located in the City of Parkland, and consists of approximately 407 acres; and WHEREAS, pursuant to the approved PUD, a maximum of 1221 dwelling units may be constructed within the Mecca PUD; and WHEREAS, DEVELOPER is in the process of Platting and developing 287.169 acres, which will be known as, Terramar Two within the PUD (hereinafter referred to as "TERRAMAR TWO"), a legal description of which is attached hereto as Exhibit "A" and made a part hereof; and WHEREAS, as a part of the Terramar Two development, and consistent with the PUD Ordinance, DEVELOPER is constructing an entrance from Parkside Drive into its development; and WHEREAS, DEVELOPER is constructing an entrance that will be consistent with the Conceptional Entrance Plan (hereinafter referred to as "Plan") which is attached hereto and marked as Exhibit "B" ; and WHEREAS, DEVELOPER is desirous of dedicating two parcels, (a legal description of which is attached hereto as composite Exhibit "C" and made a part hereof), which are adjacent to the entrance way as depicted in the Plan to the City of Parkland, and the CITY is desirous of having said parcels dedicated to the City of Parkland for the preservation and maintenance of these parcels in a natural and passive state; and WHEREAS, DEVELOPER is willing to maintain such parcels in a manner consistent with the proposed Plan and this Agreement; NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. The foregoing recitations are true and correct and are hereby incorporated herein by reference. 2. In construction of the Plan, DEVELOPER agrees at its expense to: a) plant a minimum of 325 Cypress Trees of a height of 20 feet or more; 1 b) plant 200 Cypress Trees of a height of 10 to 12 feet; c) not remove or destroy any more than 15 mature Cypress Trees; and d) have a tree survey prepared of the affected area prior to any construction or development of its entrance way. No trees shall be removed by DEVELOPER prior to the preparation and submission of the tree survey to the CITY. 3. DEVELOPER acknowledges and represents to the CITY that it is the legal and equitable owner of the Parcels to be dedicated and the common area of Terramar Two as referenced below in Paragraph 7 of this Agreement, and as such, is empowered to enter into this AGREEMENT. 4. DEVELOPER agrees to dedicate the above-described Parcels to the CITY by Plat approved by City or by Warranty Deed which shall be accompanied by a Title Opinion from a lawyer licensed in the State of Florida. Said Warranty Deed shall be recorded in the Public Records of Broward County, Florida. Both Warranty Deed and Title Opinion shall be in a form acceptable to the City Attorney. 5. CITY agrees to accept the dedication of these Parcels by the above described Warranty Deed or by Plat. 6. DEVELOPER or any future homeowners association agrees to maintain these Parcels in their natural state. Maintenance of these Parcels will include their use as stormwater reten- tion/detention areas and the periodic (annual) removal of exotic vegetation in order to maintain these Parcels in a natural and passive state. 7. The obligations imposed pursuant to this AGREEMENT upon DEVELOPER and/or its assigns shall run with and bind the common area of the Terramar Two Development as a covenant running with the land and this AGREEMENT shall be binding upon and enforceable by and against the parties hereto, the personal representatives, heirs, successors, grantees, and assigns. A legal description of the subject common area is attached hereto as Exhibit "D" and made a part hereof. 8. To the extent permitted by law, DEVELOPER or its assignees shall indemnify and hold the CITY harmless and its agents and employees from or account of any injuries or damages arising out of or resulting from the performance of this AGREEMENT, but only to the extent caused in whole or in part by the negligent acts or omissions of the DEVELOPER, its agents, servants or assignees. 9. This AGREEMENT shall be binding upon all successors in interest of the parties to this AGREEMENT, including but not limited to the Homeowners' Association which will be created on Terramar Two and which will assume the DEVELOPER'S maintenance responsibilities as set forth herein, pursuant to its Declaration of Covenants, Conditions and Restrictions. 10. This AGREEMENT sets forth all of the promises, covenants, agreements, conditions, and understandings between the parties hereto, and supercedes all prior and contemporaneous agreements, understandings, inducements or conditions, express or implied, oral or written, except as herein contained. 2 11. The invalidity of any provision hereof shall in no way affect or invalidate the remainder of the AGREEMENT. 12. This AGREEMENT shall not be amended except by a resolution duly passed by the City Commission of CITY. 13. This AGREEMENT shall be construed in accordance with the laws of the State of Florida, and any proceedings arising between the parties in any manner pertaining to this AGREEMENT shall, to the extent permitted by law, be held in Broward County, Florida. 14. A copy of this AGREEMENT shall be recorded among the Public Records of Broward County, Florida, upon execution of this AGREEMENT. 15. Should either party hereto bring an action against the other to enforce the terms and provisions hereof, then the party prevailing in said action shall be entitled to a judgment against the other for his reasonable attorneys' fees and costs.
